1. Acceptance of Terms
By downloading, installing, or using Sayo (“the App”), you agree to be bound by these Terms of Service. If you do not agree, do not use the App. The App is developed and operated by 0ARCH, based in Miami, Florida.
2. Description of Service
Sayo is a voice-first note-taking application for iOS and watchOS that allows you to record voice memos, transcribe them, and extract actionable items such as tasks, events, and ideas using AI.
3. Recording Other People
You are solely responsible for the legality of every recording you make with Sayo. Laws on recording conversations vary by state and by country. Florida, where 0ARCH is based, and a number of other states and countries require the consent of every participant before a private conversation may be recorded. Recording without the consent the law requires can be a criminal offense as well as grounds for a civil claim.
Before you record a conversation, a call, a meeting, a class, or any other situation involving other people, it is your responsibility to know what the law requires where you and the other participants are, and to obtain any consent that is needed. Sayo gives you no permission or authority to record anyone, and 0ARCH makes no representation that any particular recording is lawful.
You must not use Sayo to record anyone covertly where doing so is unlawful, to record confidential or privileged material you are not entitled to record, or in any way that violates the rights of another person.
4. Subscriptions & Payments
- Sayo is free to download and includes a limited number of free memos. The exact allowance may change over time and may differ between users while we test different offers. The allowance that applies to you is always shown in the App before you are asked to pay.
- Full access (“Sayo Pro”) is available as an auto-renewing subscription, Monthly at $6.99 or Annual at $39.99, or as a one-time Lifetime purchase at $99.99. Prices are in U.S. dollars, may vary by region, and may change over time. The price shown at the point of purchase is the price that applies.
- All payments are processed by Apple through the App Store using StoreKit. 0ARCH never receives your payment details.
- Subscriptions renew automatically unless canceled at least 24 hours before the end of the current billing period.
- Where a free trial is offered, it converts to a paid subscription unless canceled before it ends.
- You can manage or cancel a subscription at any time in iOS Settings, under your Apple Account, then Subscriptions.
- Refunds are handled by Apple in accordance with App Store policy. 0ARCH cannot issue refunds directly.
5. Your Responsibilities
- You are responsible for all content you record and store in the App, and for complying with Section 3.
- You must be at least 13 years old to use Sayo, or at least 16 where local law sets that age for consenting to data processing.
- You must not use the App for any unlawful purpose.
- You must not abuse, overload, or attempt to circumvent the limits of the App's cloud AI processing service, and you must not attempt to access it other than through the App.
- Keep your own backups of anything you cannot afford to lose. Sayo offers an export, and you should use it.
6. Data & Privacy
Your use of the App is also governed by our Privacy Policy. In short: Sayo has no accounts and no sign-in, your memos live on your device and in your own private iCloud, we do not retain your recordings or transcripts on our servers, we use no third-party analytics or advertising SDKs, and we do not sell your data. Sayo does send anonymous, aggregate usage counts to our own backend, which carry no identifier and no content and which you can switch off in Settings under Privacy.
7. AI-Generated Content
The App uses artificial intelligence to transcribe your recordings and to extract tasks, events, and ideas from them. Transcripts and extracted items may be incomplete or wrong, including dates, names, numbers, and amounts. You are responsible for reviewing and verifying anything Sayo produces before relying on it or acting on it. Do not rely on Sayo as the sole record of anything that matters legally, medically, or financially.
8. Intellectual Property
The App, including its design, code, and branding, is the property of 0ARCH. You retain ownership of all content you create using the App, including recordings, transcripts, and the items Sayo extracts from them. We claim no license to your content beyond what is technically necessary to process a recording you submit and return the result to you.
9. Disclaimer of Warranties
The App is provided “as is” and “as available” without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the App will be uninterrupted, error-free, or that transcription or AI extraction will be accurate.
10. Limitation of Liability
To the maximum extent permitted by law, 0ARCH shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App, including but not limited to loss of data, lost profits, missed obligations, or reliance on AI-generated content. To the maximum extent permitted by law, our total liability for any claim relating to the App is limited to the greater of the amount you paid us for the App in the twelve months before the claim, or twenty U.S. dollars.
Nothing in these Terms excludes or limits any right or remedy that the law where you live makes mandatory and cannot be waived, including rights you may have as a consumer in the European Union or the United Kingdom.
11. Indemnification
You agree to indemnify and hold harmless 0ARCH and its owner from any claim, demand, loss, liability, or expense, including reasonable legal fees, brought by a third party and arising out of the content you record or store using the App, your breach of these Terms, or your violation of any law or of the rights of another person, including any law governing the recording of conversations.
12. Apple
These Terms are between you and 0ARCH only, and not with Apple. Apple is not responsible for the App or its content. Apple has no obligation to provide any maintenance or support for the App. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. 0ARCH, not Apple, is responsible for addressing any claim relating to the App, including product liability claims, any claim that the App fails to conform to a legal requirement, and any claim arising under consumer protection or similar legislation, and 0ARCH, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party claim that the App infringes that party's intellectual property rights. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.
13. Termination
You may stop using the App at any time by uninstalling it and canceling any active subscription. We may suspend or terminate access to the App's cloud services if you breach these Terms, or if we discontinue the App. If we terminate your access for any reason other than your breach of these Terms while you hold a paid subscription, you may request a refund of the unused portion through Apple, and we will support that request.
14. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. Any dispute that is not resolved informally shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of those courts. If you are a consumer resident in a country whose law gives you the right to bring proceedings in your own courts, this section does not take that right away.
15. Changes to These Terms
We may update these Terms from time to time. Changes will be reflected by updating the “Last updated” date above. Continued use of the App after a change constitutes acceptance of the updated Terms.
